Laurentian Bank of Canada Completes Common Share Offering

Laurentian Bank of Canada (TSX:LB) (the "Bank") announces today the closing of its previously announced equity financing having issued 2,282,000 common shares (the "Common Shares") at $54.80 per Common Share for gross proceeds of $125 million (the "Offering"). The syndicate of underwriters was led by TD Securities Inc., BMO Capital Markets and CIBC Capital Markets, as joint bookrunners.

The net proceeds of this Offering were added to the Bank's general funds and will be used for general corporate purposes and will qualify as common equity tier 1 capital for the Bank.

The Common Shares were issued pursuant to a prospectus supplement dated January 9, 2018 to the Bank's short form base shelf prospectus dated December 20, 2016.

The securities offered have not been, and will not be, registered under the U.S. Securities Act of 1933 (the "U.S. Securities Act"), as amended, and may not be offered, sold or delivered, directly or indirectly, in the United States, its territories, its possessions and other areas subject to its jurisdiction or to, of for the account or benefit of, a U.S. person (as such term is defined in the U.S. Securities Act), absent registration or an applicable exemption from the registration requirements.
